Mr. Klyachin is responsible for our corporate M&A practice, support of private equity and venture investments and labor law matters. Before founding the firm, Mr. Klyachin was the head legal adviser for Russian Technologies an early stage investment fund. In that capacity, Anton was one of the first Russian venture capital lawyers. Previously, Mr. Klyachin was an attorney at the Moscow office of White & Case, and also an attorney at leading Russian law firm Monastyrsky, Zyuba, Stepanov & Partners. Mr. Klyachin graduated from the faculty of law at Moscow State University. He is a member of an advisory council on legal regulation and protection of intellectual property. Anton hosts TV show "Who's For?" on first Russian legal TV channel "Zakon-TV". Anton speaks fluent English.

    • Acquisition of publishing houses in Moscow and Saint Petersburg by a large Russian media holding;
    • Providing legal council for the corporate restructuring of the largest the media holding in Russia,
    • Developing a corporate restructuring mechanism for a large holding uniting immovable assets in Moscow, the Moscow region and numerous large Russian cities;
    • Acquisition of several radio stations in Moscow and Saint Petersburg by an international direct investment fund;
    • Acquisition of several regional mobile telecommunication operators by one of the three largest Russian national mobile operators;
    • Sale of an Orenburg regional mobile telecommunications operator to one of the three largest Russian national mobile telecommunications operators;
    • Preparation for the acquisition of several companies in Moscow and Saint Petersburg providing local CLEC services;
    • Acquisition of a power station in Armenia by a Russian power holding;
    • Acquisition of several independent Russian oil companies by a foreign investor;
    • Acquisition of capacities for the manufacture of drilling equipment by a Russian holding focused on providing petroleum industry services;

    • Investments into large Russian retailer of clothes and lingerie;
    • Investments into a Moscow debt collection agency;
    • Investments into the first WiMax operator in Ukraine;
    • Investments into the first company in Russia providing PLC technology Internet access services, including protecting A round investor interests during the B round of investments;
    • Investments into first project for mass electric transport on the Indian market, including protecting A round investor interests during the B round of investments;
    • Developing and documenting a private investment plan for a company producing television serials;
    • Providing legal council and coordination of legal work for more than ten projects in an investment appraisal of prospective high tech companies in Russia, Israel, the US, India and Ukraine for venture capital investment.
  • Management compensation:
    • Developing and documenting a management compensation plan for a company engaged in the construction of a network of movie theaters financed with venture capital;
    • Representing management interests in negotiations with a direct investment fund for the creation of a retail lending bank;
    • Representing employer interests in negotiations with three senior level managers of a group of companies;
    • Representing interests of the general director of large auto dealer in negotiations with the owners of the business;
    • Representing the interests of a manager of an international trading company in a labor dispute with the employer.
    • Providing legal council for the corporate restructuring of a large Russian-British upstream oil company;

    • Financing for a management buyout of a large Russian milk and dairy product producer;
    • Construction of Russian portion of an international cable system by a Scandinavian telecommunications company;
    • Developing documentation for the construction of a combustion exhaust recycling facility.
